Terms of Service

Welcome to Kreo. These Terms of Service ("Terms") govern your use of the Kreo creator gifting platform and services provided by KREO AI, Inc. ("Kreo," "we," "us," or "our"). By accessing or using Kreo, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.

2. Eligibility

You must be at least 18 years old to use Kreo. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

To use Kreo, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. Description of Services

Kreo is a creator gifting platform that connects brands with content creators. Our services include:

• Creator discovery via Instagram profile sharing and DM monitoring
• Creator profile enrichment using public Instagram and TikTok profile data
• Gifting campaign creation and management for brands
• Customizable gifting forms and questionnaires
• Gifting opportunity detection and classification for creators
• Auto-fill functionality for gifting forms
• Gift order creation and fulfillment tracking through a brand's connected store
• Package tracking and delivery status
• Team collaboration tools for brand organizations
• Manager-creator relationship management
• AI-assisted features for brands and creators (see section 8)

5. Account Types

5.1 Brand Accounts

Brand accounts are for companies and organizations that want to send gifts to content creators. Brand accounts can connect Instagram for DM monitoring, create gifting campaigns, invite team members, and track creator responses.

5.2 Creator Accounts

Creator accounts are for individual content creators and influencers who receive gifting opportunities. Creators can connect their Instagram and Gmail accounts, manage their gifting profile (sizes, preferences, addresses), and track incoming opportunities.

5.3 Manager Accounts

Manager accounts are for talent managers who oversee multiple creators. Managers may access creator data only with the creator's consent through our platform's invitation system.

6. Third-Party Integrations

Kreo integrates with third-party services including:

• Instagram (Meta) and TikTok - for account connections, webhooks, and public profile data
• Gmail (Google) and Outlook (Microsoft) - for sending campaign email on a brand's behalf, and for gifting opportunity detection in creator accounts
• Shopify - to read a brand's product catalog, inventory and shipping rates, create gift orders in the brand's store, and receive fulfillment and tracking status for those orders. Kreo does not access the store's customer records and does not read customer details from orders.

Your use of these integrations is subject to the respective terms and policies of each service. You authorize Kreo to access your data from these services as described in our Privacy Policy. You may disconnect any integration at any time through your account settings.

7. Instagram DM Monitoring (Brands)

When brands connect their Instagram account, Kreo monitors direct messages via webhooks to detect when team members share creator profiles. By using this feature, you:

• Authorize Kreo to receive and process Instagram DM webhooks
• Acknowledge that shared creator profiles will be automatically added to your dashboard
• Confirm that you have appropriate authorization to connect the Instagram account
• Accept responsibility for your team members' use of this feature

8. AI-Powered Features

Kreo uses artificial intelligence to provide certain features:

• An assistant for brand users that sets up and edits campaigns, searches the brand's creator list, answers questions about the brand's own data, drafts outreach and form copy, and prepares exports, acting only through the same functions as the dashboard and with the signed-in user's permissions
• Classification of public posts that tag or mention a brand, to identify which of the brand's products they feature
• Classification of messages received by a brand's connected accounts, to recognize gifting and collaboration requests
• Column suggestions when a brand imports a spreadsheet or an order-sheet template
• Suggested competitor brands, based on brand and product names
• Gifting opportunity classification, response drafts, brand name extraction and tone adjustment for creators and brands

Kreo does not train AI models. Information sent to an AI service is limited to the text needed for the task and, under our agreements with those services, is not used to train their models. Brand workspace admins can turn AI-assisted features off for their workspace in Settings. The assistant tells users that it is an AI assistant at the start of every session.

AI-generated content is provided as suggestions only. You are responsible for reviewing and approving all AI-generated content before use. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

9. Gifting Auto-fill Feature (Creators)

The gifting auto-fill feature automatically fills brand gifting forms using your profile information. By using this feature, you:

• Authorize Kreo to submit your personal information (name, address, sizes, preferences) to third-party forms
• Confirm that the information in your gifting profile is accurate and up-to-date
• Acknowledge that form submissions are made in your name and on your behalf
• Accept responsibility for any submissions made through this feature
• Understand that you can configure auto-fill settings and allowlists

10. Creator Data and Business Discovery

When creator profiles are shared via Instagram DM, Kreo enriches those profiles using Instagram's Business Discovery API. This includes publicly available information such as:

• Profile information (username, bio, follower counts)
• Recent media posts and engagement metrics

By using Kreo, you acknowledge that creator public profile data may be collected and displayed within the platform for gifting coordination purposes.

11. User Content

11.1 Your Content

You retain ownership of all content you upload or create on Kreo, including campaign configurations, form designs, and response templates. By uploading content, you grant Kreo a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely to provide our services.

11.2 Content Restrictions

You agree not to upload or share content that:

• Infringes on intellectual property rights
• Contains malware or harmful code
• Is illegal, fraudulent, or deceptive
• Violates any third party's rights
• Contains sensitive personal information of others without consent

11.3 Form Responses

When creators submit responses to brand gifting forms, that information is shared with the brand organization. The brand decides what it collects and how it is used, and Kreo processes that information on the brand's behalf and instructions. Brands are responsible for handling creator data in accordance with applicable privacy laws, including entering into data processing terms with Kreo where the law requires.

12. Acceptable Use

You agree not to:

• Use Kreo for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Use automated systems to access our platform without permission
• Impersonate others or misrepresent your affiliation
• Violate the terms of any connected third-party services (Instagram, TikTok, Google, Microsoft, Shopify)
• Use the platform to spam creators with unwanted gifting offers
• Share creator personal information (addresses, phone numbers) outside of legitimate gifting purposes
• Reverse engineer or attempt to extract our source code

13. Intellectual Property

Kreo and its original content, features, and functionality are owned by KREO AI, Inc. and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without our express written consent.

14. Gifting Transactions

Kreo facilitates the connection between brands and creators for gifting purposes but does not:

• Guarantee that creators will accept or respond to gifting offers
• Process payments or handle financial transactions
• Physically ship or fulfill gift orders (orders Kreo creates in a brand's connected store are packed and shipped by the brand or its fulfillment partner)
• Guarantee the quality or delivery of gifts

Any gifting arrangements are solely between the brand and creator. Kreo is not responsible for disputes related to gifting fulfillment.

15. Disclaimer of Warranties

KREO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The service will be uninterrupted or error-free
• Instagram webhooks or Business Discovery will always be available
• AI-generated content will be accurate, appropriate, or error-free
• Auto-fill submissions will be successful or accurate
• Third-party integrations will always be available
• Creator profile data will always be current or complete

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KREO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or business opportunities
• Damages arising from third-party integrations
• Damages arising from AI-generated content or auto-fill errors
• Damages arising from failed or incorrect form submissions
• Damages arising from gifting arrangements between brands and creators
• Damages arising from unauthorized account access

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless Kreo and its affiliates from any claims, damages, losses, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or share
• Your use of AI-generated content
• Information submitted through the auto-fill feature
• Your handling of creator personal data (for brands)
• Gifting arrangements you enter into through the platform

18. Termination

We may suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion. You may also terminate your account at any time by contacting us.

Upon termination:

• Your right to access Kreo will cease immediately
• We may delete your account data after a reasonable retention period
• Provisions that should survive termination will remain in effect
• Data already shared with other parties (form responses, etc.) may be retained by those parties

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and revising the "Last updated" date. Your continued use of Kreo after changes become effective constitutes acceptance of the revised Terms.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

21. Dispute Resolution

Any disputes arising from these Terms or your use of Kreo shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

22. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kreo regarding your use of our services.
