Welcome to Kreo. These Terms of Service ("Terms") govern your use of the Kreo platform and services provided by Kreo Inc. ("Kreo," "we," "us," or "our"). By accessing or using Kreo, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.

2. Eligibility

You must be at least 18 years old to use Kreo. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

To use Kreo, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. Description of Services

Kreo is an influencer and creator management platform that provides:

• Project management for brand collaborations
• Social media analytics integration (Instagram, TikTok)
• Email organization and classification for business inquiries
• Calendar management and event tracking
• Payment and invoice tracking
• Gifting management and form autofill
• Content creation tools and AI-assisted features
• Manager-creator relationship tools
• Document storage and management

5. Account Types

5.1 Creator Accounts

Creator accounts are for individual content creators and influencers to manage their own projects, collaborations, and business activities.

5.2 Manager Accounts

Manager accounts are for talent managers and agencies to oversee multiple creators. Managers may access creator data only with the creator's consent through our platform's invitation system.

6. Third-Party Integrations

Kreo integrates with third-party services including:

• Instagram (Meta)
• TikTok
• Gmail and Google Workspace
• Google Calendar
• Google Drive

Your use of these integrations is subject to the respective terms and policies of each service. You authorize Kreo to access your data from these services as described in our Privacy Policy. You may disconnect any integration at any time through your account settings.

7. AI-Powered Features

Kreo uses artificial intelligence to provide certain features:

• Email classification and organization
• Document analysis and data extraction
• Content concept generation
• Chat assistant functionality

AI-generated content is provided as suggestions only. You are responsible for reviewing and approving all AI-generated content before use. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

8. Gifting Autofill Feature

The gifting autofill feature automatically fills and submits brand gifting application forms on your behalf. By using this feature, you:

• Authorize Kreo to submit your personal information to third-party forms
• Confirm that the information in your gifting profile is accurate
• Acknowledge that form submissions are made in your name
• Accept responsibility for any submissions made through this feature

9. User Content

9.1 Your Content

You retain ownership of all content you upload or create on Kreo. By uploading content, you grant Kreo a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely to provide our services.

9.2 Content Restrictions

You agree not to upload or share content that:

• Infringes on intellectual property rights
• Contains malware or harmful code
• Is illegal, fraudulent, or deceptive
• Violates any third party's rights
• Contains sensitive personal information of others without consent

9.3 Shared Content

When you create share links for project blocks, that content becomes accessible to anyone with the link. You are responsible for managing who receives share links.

10. Acceptable Use

You agree not to:

• Use Kreo for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Use automated systems to access our platform without permission
• Impersonate others or misrepresent your affiliation
• Violate the terms of any connected third-party services
• Use the platform to spam or harass others
• Reverse engineer or attempt to extract our source code

11. Intellectual Property

Kreo and its original content, features, and functionality are owned by Kreo Inc. and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without our express written consent.

12. Payment Terms

Kreo provides payment tracking features but does not process payments directly. Any financial transactions between you and brands, clients, or collaborators are solely between those parties. Kreo is not responsible for payment disputes or issues.

13. Disclaimer of Warranties

KREO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The service will be uninterrupted or error-free
• Results obtained from the service will be accurate or reliable
• AI-generated content will be accurate, appropriate, or error-free
• Third-party integrations will always be available

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KREO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or business opportunities
• Damages arising from third-party integrations
• Damages arising from AI-generated content
• Damages arising from gifting form submissions
• Damages arising from unauthorized account access

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless Kreo and its affiliates from any claims, damages, losses, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or share
• Your use of AI-generated content
• Information submitted through the autofill feature

16. Termination

We may suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion. You may also terminate your account at any time by contacting us.

Upon termination:

• Your right to access Kreo will cease immediately
• We may delete your account data after a reasonable retention period
• Provisions that should survive termination will remain in effect

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and revising the "Last updated" date. Your continued use of Kreo after changes become effective constitutes acceptance of the revised Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

19. Dispute Resolution

Any disputes arising from these Terms or your use of Kreo shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

20. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kreo regarding your use of our services.
